Abstract :
Tort actions could happen in many areas, one of them is the banking sector. This thesis discusses Shareholders' actions to refused Extraordinary General Meeting of Shareholders? decision which asked Shareholders to made Selling Power of The attorney that could lead them to do tort, according to Bank Indonesia's regulations and to see how Bank Indonesia responded to this case. This study uses a normative juridical research method that emphasizes legal science and the rule of law of society. The results of this thesis stated that shareholder has committed a tort by not fulfilling their obligation to provide a Selling Power of Attorney to Bank Liman, causing a loss for Bank Liman. Bank Indonesia also stated that the shareholder is not worthy as controlling shareholders.
